1. Acceptance of Terms

By creating an account or using NudgeFlow in any way, you agree to be bound by these Terms and Conditions. If you do not agree, do not use the service. These terms constitute a legally binding agreement between you and NudgeFlow.

We may update these terms from time to time. Continued use of the service after updates are posted constitutes acceptance of the revised terms.

2. Description of Service

NudgeFlow is an invoice and payment reminder tool for freelancers and small businesses. It allows you to create invoices, share payment links with your clients, and automate follow-up reminders via email, WhatsApp, and SMS until payment is received.

NudgeFlow is not accounting software. It does not provide tax calculations, GST/TDS filing support, expense tracking, financial reporting, or any other accounting function. It is a focused tool for getting invoices paid.

3. Account Registration

• You must provide accurate, current, and complete information when creating your account.
• Each account represents one business or individual. You may not create multiple accounts to circumvent plan limits.
• You are responsible for maintaining the security of your account credentials. NudgeFlow is not liable for any loss resulting from unauthorized access to your account.
• You must be at least 18 years old to use NudgeFlow.
• By registering, you confirm that you are legally authorized to operate under your stated business name.

4. Subscription and Billing

NudgeFlow offers two subscription plans:

• Free Plan: Available at no cost. Subject to the limitations described in Section 5.
• Pro Plan: Priced at ₹199 per month or ₹1,299 per year. Billed via Razorpay. Includes unlimited invoices, automated reminders, and Razorpay payment link generation.

Billing: Subscription fees are charged at the start of each billing period (monthly or annual). Subscriptions auto-renew until you cancel.

Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to Pro features until that date.

No refunds: We do not offer refunds once a billing cycle has started. If you cancel mid-cycle, you will not be charged for the next cycle but will not receive a refund for the current one.

We reserve the right to change subscription pricing with 30 days' notice. Price changes will not affect your current billing period.

5. Free Plan Limitations

The Free Plan includes the following hard limits:

• 5 invoices total (lifetime, not per month). Once you have created 5 invoices, you must upgrade to create more.
• 5 manual reminders per month. You can manually trigger up to 5 reminder messages each calendar month.
• No automated reminders. The automatic reminder sequence (Day 0, +3, +7, +14) is a Pro-only feature.
• Email only. WhatsApp and SMS reminders are Pro-only features.
• No Razorpay payment link generation. You can create invoices and share a payment page, but automated Razorpay link creation requires the Pro plan.

These limits exist to keep the service sustainable. If you find them restrictive, upgrading to Pro is the intended path.

6. Client Data and Consent

When you enter a client's email address, phone number, or WhatsApp number into NudgeFlow, you confirm that:

• You have a legitimate business relationship with that client (an outstanding invoice or service rendered).
• You have the appropriate consent or legal basis to contact them regarding payment, in accordance with applicable law including TRAI regulations for commercial communications.
• You will not use NudgeFlow to send unsolicited messages or to contact individuals who have no business relationship with you.

NudgeFlow sends reminders on your behalf. You are solely responsible for ensuring you have the right to contact each client. NudgeFlow is not liable for any complaints, regulatory action, or legal claims arising from your use of client contact data.

7. Payment Processing

NudgeFlow uses Razorpay to process subscription payments and, on the Pro plan, to generate payment links for your clients.

• NudgeFlow does not store card numbers, bank account details, or any sensitive payment instrument data. All such data is handled exclusively by Razorpay.
• When your clients pay via a NudgeFlow-generated payment link, funds go directly to your Razorpay account. NudgeFlow does not receive, hold, or intermediate client funds at any point.
• NudgeFlow is not a payment aggregator or payment service provider. We are a software tool that integrates with Razorpay on your behalf.
• NudgeFlow is not liable for payment failures, Razorpay outages, disputes between you and your clients, or any refunds or chargebacks that occur through Razorpay.
• Your use of Razorpay is subject to Razorpay's own Terms of Service and Privacy Policy.

8. Acceptable Use

You agree not to use NudgeFlow to:

• Send spam, unsolicited messages, or communications that violate applicable law.
• Create invoices for illegal goods or services.
• Impersonate another business or individual.
• Attempt to gain unauthorized access to any part of the platform or another user's account.
• Overload, disrupt, or reverse-engineer any part of the service.
• Use the service in any way that violates Indian law, including the Information Technology Act, 2000.

Violation of this section may result in immediate account suspension without notice and without refund.

9. Intellectual Property

NudgeFlow owns all rights to the platform, including its software, design, branding, and underlying technology. Nothing in these terms grants you any right to the NudgeFlow name, logo, or codebase.

You own all data you create within NudgeFlow — your invoices, client records, and business information. We do not claim ownership of your data. You may export or request deletion of your data at any time.

10. Disclaimer of Warranties

NudgeFlow is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that:

• The service will be uninterrupted, error-free, or available at all times.
• Reminders sent through the platform will result in payment from your clients.
• The service will meet your specific business requirements.

NudgeFlow is a tool to help you follow up on invoices. It does not guarantee payment collection. Whether your clients pay is entirely outside our control.

11. Limitation of Liability

To the maximum extent permitted by applicable law, NudgeFlow's total liability to you for any claim arising out of or related to these terms or the service — regardless of the cause of action — is limited to the total subscription fees you paid to NudgeFlow in the three months immediately preceding the claim.

NudgeFlow is not liable for any indirect, incidental, consequential, or punitive damages, including loss of revenue, loss of clients, or business interruption, even if we have been advised of the possibility of such damages.

12. Termination

By you: You may cancel your account at any time from account settings or by emailing support@nudgeflow.in. Cancellation stops future billing. Your data will be retained for 30 days after cancellation before deletion, after which it cannot be recovered.

By NudgeFlow: We reserve the right to suspend or terminate your account immediately and without notice if you violate these terms, engage in fraudulent activity, or cause harm to the platform or other users. In cases of termination for cause, no refund will be issued.

Upon termination, your right to use the service ends immediately. Sections 9, 10, 11, and 13 survive termination.

13. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.

14. Changes to These Terms

We may update these Terms and Conditions from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will notify you via email at least 7 days before the changes take effect. Continued use of NudgeFlow after that date constitutes acceptance of the updated terms.
